1. Agreement and scope

Adaptiv Stratum, LLC, a business based in Austin, Texas, is referred to in these Terms as “Adaptiv Stratum,” “we,” “us,” or “our.” These Terms govern access to adaptivstratum.com and related public pages we operate, as well as the general conditions applicable when someone requests information about our services.

By using the website, you agree to these Terms. If you do not agree, do not use the website. Merely visiting the website does not create a consulting, fiduciary, employment, partnership, or agency relationship.

2. Services

Adaptiv Stratum provides consulting, software and systems engineering, data analytics, predictive modeling, modernization, AI-assisted communication, workflow automation, call routing, hosting, implementation, training, and support. Advertising or referral services are offered only when expressly included in an applicable agreement and accompanied by the disclosures appropriate to that service.

Website descriptions are general and do not promise that every service, feature, integration, or deployment model is available to every client.

3. Client agreements and ownership

Actual client engagements are governed by the applicable signed proposal, order form, statement of work, master services agreement, data processing addendum, or other written agreement. If a signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

We support both managed services and expressly designated client-owned custom deployments. A signed agreement will identify the deliverables, acceptance and payment conditions, ownership or license rights, excluded components, account control, support responsibilities, and any handover obligations. No transfer of software ownership is implied solely by using this website or receiving access to a managed service.

Unless a signed agreement states otherwise, Adaptiv Stratum retains its pre-existing technology, reusable components, methods, templates, tools, and general know-how. Third-party and open-source components remain subject to their applicable licenses.

4. Client data and confidentiality

Clients retain ownership of the business information, customer records, content, rules, and other data they provide or authorize us to access. We receive only the rights reasonably necessary to provide, secure, support, and improve the agreed services.

We do not repurpose one client’s confidential records to generate opportunities for another business. Any separately operated referral service must be expressly identified and governed by its own notices and applicable terms.

Detailed confidentiality, security, processing, return, and deletion obligations may be established in the applicable client agreement or data processing addendum.

5. Third-party technology, AI, and automation

Services may depend on telecommunications carriers, cloud infrastructure, AI providers, hosting services, payment systems, analytics tools, and other third-party platforms. Their availability, pricing, policies, and performance may change outside our reasonable control.

AI-assisted findings, classifications, summaries, forecasts, estimates, and automation outputs depend on available information, configuration, selected methods, and stated assumptions. They may be incomplete or inaccurate and do not guarantee a business or financial outcome.

Automation may act only within the permissions and rules established for the deployment. Clients remain responsible for supplying accurate business information and for decisions that require their professional or operational judgment. Automated outbound AI calling campaigns and consequential uses involving employment, credit, housing, healthcare, or similar decisions require separate written review and approval.

6. Acceptable use

You may not use the website or services to violate law, infringe rights, access systems without authorization, distribute malicious software, misrepresent a business or service, send unlawful communications, interfere with service operation, or harm or deceive another person.

You are responsible for information, instructions, permissions, and credentials you provide and for ensuring you have authority to provide them.

7. Service limitations and emergencies

Call routing, virtual-agent, and service-coordination systems are not emergency-response services and are not substitutes for contacting emergency services. Classification of a request as urgent does not guarantee that a provider will answer, accept the request, or arrive within a particular time.

Connections, integrations, communications, and automated actions can fail because of network conditions, unavailable destinations, inaccurate information, third-party outages, configuration, or other circumstances. Deployment-specific fallback, continuity, support, and service-level commitments must be stated in the applicable signed agreement.

8. No professional advice or guaranteed results

Our services do not constitute legal, tax, accounting, investment, insurance, medical, employment, or other regulated professional advice. Recommendations and analytical materials support business decision-making but do not replace appropriately qualified advisors.

We do not guarantee revenue, savings, retention, bookings, response rates, system uptime, or other specific outcomes unless an applicable signed agreement expressly provides a defined commitment.

9. Website disclaimer and liability

The public website and its informational content are provided on an “as available” basis. To the fullest extent permitted by law, we disclaim implied warranties concerning the website, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Adaptiv Stratum will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from use of the public website. Liability relating to paid client services is governed by the applicable signed agreement.

10. Governing law and changes

These Terms are governed by Texas law, without regard to conflict-of-law principles. Unless a signed agreement or applicable law requires otherwise, disputes concerning the public website will be resolved in the state or federal courts located in Travis County, Texas.

We may revise these Terms as our services or legal obligations change. A revised version will identify its effective date. Material changes will apply prospectively unless another treatment is permitted by law and communicated appropriately.
