A transaction team receives a large data room containing contracts, operational reports, financial schedules, and technical records. AI can help organize that material and direct attention to questions worth investigating. It cannot make the material complete or turn a summary into a qualified legal or financial conclusion.
The useful opportunity is a more navigable evidence process: faster preparation, clearer source links, explicit coverage, and better questions for the people responsible for the assessment.
Establish permission before ingestion
Access to a data room does not automatically permit uploading its contents to another service. Review confidentiality agreements, intellectual property restrictions, personal-data obligations, provider terms, retention, and the parties entitled to access each workstream.
Legal privilege and sensitive negotiations require specialist consideration. Do not assume that a general enterprise subscription resolves the specific obligations of a transaction.
NIST's Generative AI Profile includes guidance on third-party risk, contractual requirements, and access to organizational content. It does not authorize sharing a particular deal's documents or verify a vendor's actual handling practices.
An illustrative contract workstream
Imagine a buyer reviewing a supplier business. Qualified counsel wants to identify customer agreements that may need attention if ownership changes. An AI-assisted workflow can inventory the permitted contracts, extract candidate clauses, and prepare a review list with document and page references.
The system preserves the original wording and distinguishes an extracted passage from its interpretation. Counsel determines whether the clause is relevant, how it applies, and what further action is appropriate. The assistant does not independently declare consent unnecessary or a contract enforceable.
A scanned document with unreadable pages is marked incomplete. An amendment referring to a missing agreement becomes an open request. Several similar contract names are not merged automatically if they may refer to different entities or versions.
The result is an issue register linked to source evidence and reviewer decisions, not an AI-generated assurance that the contractual position is clean.

Track coverage explicitly
A system can review every file it was given and still miss the most important document because that document was never provided. Record the requested population, received documents, inaccessible material, unreadable pages, and unresolved gaps.
Keep version relationships visible. A later amendment may change an earlier obligation, while a draft may never have been executed. The workflow should not quietly combine language from incompatible versions into one definitive summary.
For financial and operational schedules, preserve definitions, periods, units, and reconciliations. A revenue schedule, a cash receipt report, and a management forecast answer different questions. A model should not smooth those differences into a single confident growth story.
Let specialists investigate the exceptions
AI can prepare candidate issues across several workstreams, but each workstream needs a responsible reviewer with the appropriate expertise. Technical architecture, cybersecurity, accounting, tax, legal obligations, and commercial assumptions are not interchangeable forms of analysis.
The review record should identify the issue, evidence, materiality judgment, unresolved question, owner, and next action. Materiality is contextual; the assistant should not invent a threshold that the transaction team has not approved.
Where a claim depends on external information, obtain permission for the research and protect confidential context. A public search query containing sensitive transaction details can itself be a disclosure.
Evaluate on difficult examples
Test extraction and retrieval using representative documents and known issues before relying on the tool in the live workstream. Include conflicting amendments, unusual wording, missing signatures, and documents that should not be accessible to a particular reviewer.
Assess both incorrect flags and missed issues. A long issue list can create work without improving diligence; a short one can appear reassuring while overlooking important evidence. Misinformation guidance reinforces the need to verify generated claims rather than treating fluency or citations as proof.
No evaluation can establish that an unseen risk does not exist. State the coverage and limitations of the work actually performed.
Add an explicit status for questions that cannot be answered from the received material. In the contract example, an absent signed amendment should generate a document request and an assigned reviewer, not a conclusion that no amendment exists. That distinction helps the transaction team decide which gaps need resolution before it relies on the workstream's findings.
Preserve a decision-ready record
Before the engagement ends, export the evidence links, issue register, reviewer conclusions, unresolved requests, and relevant configuration under the agreed retention and confidentiality rules. Decide what the provider retains and verify deletion or access revocation where appropriate.
AI may help reduce the time needed to locate and prepare evidence. Whether it shortens a transaction or improves its outcome depends on the documents, reviewers, process, and decision. The responsible promise is better-supported diligence, not an automated verdict about whether a deal should proceed.
